TERMS OF SERVICE & CREATOR LEGAL FRAMEWORK

1. ABOUT THESE TERMS

These Terms of Service ("Terms") govern your use of Page 24, a digital publishing and distribution platform operated by Page 24 ("Page 24", "we", "us", or "our").

Page 24 provides services that may include:

  • digital publishing and distribution;
  • electronic book sales;
  • digital content hosting;
  • author and publisher profiles;
  • book discovery and promotion;
  • payment processing;
  • royalty and payout administration;
  • manuscript and book-file processing;
  • physical publishing or printing services where offered; and
  • other services introduced by Page 24 from time to time.

These Terms apply to authors, publishers, creators, readers, customers and other users of the platform.

By creating an account, submitting content, publishing a work, purchasing content or otherwise using Page 24, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you should not use Page 24.

2. DEFINITIONS

For purposes of these Terms:

"Author" or "Creator" means a person who submits or publishes a literary work or other creative content through Page 24.

"Publisher" means an individual or organisation authorised to publish and distribute a work through Page 24.

"Work" or "Content" means a manuscript, ebook, PDF, EPUB, cover, illustration, photograph, audio file, description, metadata or other material submitted to Page 24.

"Reader" or "Customer" means a person who accesses or purchases content through Page 24.

"Creator Account" means an account used by an author or publisher to submit, manage or sell content.

"Royalty" means the amount payable to a creator from qualifying sales after applicable Page 24 fees, payment-processing charges, refunds, reversals, taxes or other agreed deductions.

3. ACCOUNT REGISTRATION AND RESPONSIBILITY

To use certain Page 24 services, you may be required to create an account.

You agree to:

  • provide information that is accurate and reasonably current;
  • keep your login credentials secure;
  • not knowingly allow another person to misuse your account;
  • promptly notify Page 24 if you believe your account has been compromised; and
  • remain responsible for activity conducted through your account unless you have promptly reported unauthorised access.

Page 24 may refuse, suspend or terminate an account where there are reasonable grounds to believe that the account is being used fraudulently, unlawfully, abusively or in violation of these Terms.

4. AUTHOR AND PUBLISHER ELIGIBILITY

By submitting a Work to Page 24, you confirm that you have the legal capacity and authority to enter into these Terms.

If you are submitting a Work on behalf of another person, publisher, company, estate or organisation, you represent that you have authority to do so.

Where an account involves a minor or another person who cannot legally enter into the relevant agreement independently, Page 24 may require the involvement or consent of an appropriate parent, guardian or authorised representative.

5. OWNERSHIP AND INTELLECTUAL PROPERTY

5.1 Creator Ownership

You retain ownership of the copyright and other intellectual-property rights that you lawfully own in your Work.

Publishing or storing a Work on Page 24 does not, by itself, transfer copyright ownership to Page 24.

You remain responsible for ensuring that you possess all rights necessary to publish and distribute the Work.

5.2 Your Representations

By submitting a Work, you represent and warrant that:

  1. you are the author and lawful rights holder of the Work; or
  2. you possess sufficient written permission, licence, assignment or other legal authority to publish and distribute the Work through Page 24.

You further represent that, to the best of your knowledge, the Work does not unlawfully infringe another person's:

  • copyright;
  • trademark;
  • privacy rights;
  • publicity rights;
  • contractual rights; or
  • other legally protected rights.

Where your Work contains material created by another person, including photographs, illustrations, quotations, translations, artwork, logos or other protected material, you are responsible for obtaining any permission required for its use.

6. COMPLIANCE WITH COPYRIGHT LAW

Page 24 respects copyright and other intellectual-property rights.

Creators are responsible for complying with applicable copyright law, including the Copyright and Neighbouring Rights Act [Chapter 26:05] of Zimbabwe, where applicable.

Page 24 does not permit users to knowingly upload or distribute pirated, plagiarised or otherwise unlawfully obtained material.

Page 24 may investigate credible copyright complaints and may restrict, remove or disable access to content where reasonably necessary to comply with law, protect rights holders, investigate suspected infringement or protect the platform and its users.

Our detailed procedures may be set out in a separate Copyright & Content Protection Policy.

7. LIMITED LICENCE GRANTED TO PAGE 24

You retain ownership of your Work.

However, in order for Page 24 to provide its services, you grant Page 24 a non-exclusive, worldwide licence to use the Work for the purposes described below.

This licence permits Page 24 and authorised service providers acting on its behalf to:

  • host and store the Work;
  • reproduce the Work where technically necessary;
  • convert or format the Work into supported digital formats;
  • create previews or samples where authorised;
  • display the title, cover, description, author name and other metadata;
  • make the Work available to customers who have lawfully purchased or been authorised to access it;
  • deliver authorised digital copies to such customers;
  • process transactions and administer royalties;
  • provide customer support;
  • protect the Work against unauthorised access or misuse;
  • promote the Work and Page 24 through authorised marketing activities; and
  • perform other technical operations reasonably necessary to provide, maintain and secure Page 24.

This licence does not transfer ownership of your copyright to Page 24.

Page 24 will not acquire ownership of your Work merely because your Work is stored, processed or distributed through the platform.

Unless separately agreed with you or required by law, Page 24 will not use the full text of your Work as an independent commercial product outside the services authorised under these Terms.

8. CONTENT HOSTING, STORAGE AND SECURITY

8.1 Hosting

Page 24 may electronically store, host, process and transmit creator content in order to provide its services.

Page 24 may use its own systems and trusted third-party infrastructure providers for hosting, cloud storage, databases, security, payment processing, content delivery and other technical services.

These providers may process or store creator content on Page 24's behalf as necessary to provide the relevant service.

8.2 Third-Party Infrastructure

Page 24 may change or replace its technology and infrastructure providers from time to time.

The use of a third-party hosting, database, cloud, payment or infrastructure provider does not transfer ownership of your intellectual property to that provider.

Page 24 will take reasonable steps to engage service providers appropriate for the nature of the services being provided.

8.3 Security

Page 24 will implement reasonable technical and organisational measures appropriate to the nature of the information and services to help protect creator content and account information against unauthorised access, alteration, loss, disclosure or destruction.

Depending on the service, these measures may include:

  • access controls;
  • authentication;
  • encrypted connections;
  • restricted administrative access;
  • secure storage practices;
  • backups;
  • monitoring;
  • rate limiting; and
  • other appropriate security measures.

However, no internet service, cloud-storage system, database, electronic transmission or digital-rights-management technology can guarantee absolute security.

Page 24 therefore cannot guarantee that digital content will never be copied, accessed, disclosed, lost or redistributed without authorisation.

8.4 Creator Backups

Creators should retain their own original manuscripts and master files.

Page 24 may maintain backups necessary for operating the service, but Page 24 should not be treated as the creator's sole archival or backup facility.

9. DIGITAL CONTENT PROTECTION

Page 24 may use reasonable measures to discourage unauthorised copying, downloading, redistribution, scraping or other misuse of digital content.

Depending on the service, these measures may include:

  • authenticated access;
  • controlled downloads;
  • access restrictions;
  • watermarking;
  • transaction-linked identifiers;
  • monitoring;
  • rate limiting;
  • technical restrictions; and
  • other digital-content protection measures.

These measures are intended to reduce unauthorised use, not to guarantee that piracy is impossible.

Creators acknowledge that a determined individual may be able to reproduce or redistribute digital content despite reasonable technical protections.

10. DIGITAL PURCHASES AND READER ACCESS

When a reader purchases a digital Work through Page 24, the reader receives the right to access and use the purchased Work for personal use, subject to the applicable purchase terms and restrictions.

Unless expressly stated otherwise, purchasing an ebook does not transfer copyright or reproduction rights to the reader.

Readers may not:

  • resell the digital Work;
  • redistribute it to the public;
  • upload it to file-sharing or piracy websites;
  • reproduce it commercially;
  • claim authorship of it; or
  • otherwise exploit the Work in a manner prohibited by law or these Terms.

Page 24 may provide digital books through downloadable files, online reading, account-based access or other methods depending on the Work and service.

11. AUTHOR AND PUBLISHER INFORMATION

Page 24 may request information reasonably necessary to:

  • create and maintain an account;
  • communicate with the creator;
  • administer publishing services;
  • process payments;
  • administer royalties;
  • prevent fraud;
  • comply with legal obligations;
  • resolve disputes; or
  • provide customer support.

Page 24 follows a principle of data minimisation and will seek to collect information reasonably necessary for the relevant purpose.

12. CREATOR VERIFICATION AND PAYOUT INFORMATION

Page 24 does not routinely require every creator to submit a National ID or passport merely to publish a Work.

Where reasonably sufficient, Page 24 may verify a creator using information such as:

  • legal or account name;
  • email address;
  • telephone number;
  • payout account or wallet information;
  • payment-provider verification;
  • confirmation of ownership or publishing authority; or
  • other reasonably appropriate information.

12.1 Enhanced Verification

Page 24 may request additional identity or supporting documentation where reasonably necessary because of:

  • applicable law or regulatory requirements;
  • requirements imposed by a payment provider;
  • suspected fraud or financial abuse;
  • a dispute concerning ownership or publishing authority;
  • unusual or suspicious account activity;
  • a legal request; or
  • circumstances in which Page 24 reasonably needs additional information to protect creators, readers or the platform.

Where additional documentation is requested, Page 24 will seek to limit the information collected to what is reasonably necessary for the relevant purpose.

12.2 Payout Account

Creators may designate an eligible payout destination supported by Page 24, which may include a bank account, mobile-money wallet, Visa card, or another supported payment method.

Where permitted by the applicable payment provider and Page 24's procedures, the payout destination may belong to:

  • the creator; or
  • another person expressly authorised by the creator.

Where a payout is directed to another person's account, Page 24 may require appropriate written authorisation or other evidence reasonably necessary to establish that the creator has authorised the arrangement.

The name and ownership requirements of the relevant payment provider will also apply.

Page 24 may delay or suspend a payout where the payout information is incomplete, inconsistent, disputed, fraudulent, unavailable or subject to legal or payment-provider restrictions.

13. ROYALTIES, FEES AND PAYOUTS

Creators may set or participate in setting the selling price of their Works in accordance with the options made available by Page 24.

Page 24 may deduct applicable:

  • platform service fees;
  • payment-processing charges;
  • refunds;
  • chargebacks;
  • taxes or legally required deductions; and
  • other charges expressly disclosed to the creator.

The creator will receive the applicable net amount according to Page 24's published payout terms.

Payout schedules, minimum payout thresholds and supported payout methods may be specified separately by Page 24 and may change from time to time with reasonable notice.

Page 24 may temporarily withhold funds where reasonably necessary to investigate:

  • suspected fraud;
  • chargebacks;
  • payment reversals;
  • copyright disputes;
  • ownership disputes;
  • unlawful activity; or
  • other circumstances that may materially affect the validity of the transaction.

Page 24 will not use withholding powers as a means of permanently depriving a lawful creator of funds except where permitted by law or where the funds are determined to be unavailable for lawful payment.

14. REFUNDS, CHARGEBACKS AND PAYMENT REVERSALS

Where a customer receives a refund, chargeback or payment reversal relating to a Work, the corresponding creator royalty may be reversed or adjusted where reasonably necessary.

Page 24 may temporarily reserve amounts reasonably required to cover anticipated payment reversals, subject to applicable law and the platform's payout procedures.

15. COPYRIGHT COMPLAINTS AND DISPUTES

A person who believes that content available through Page 24 infringes their copyright or other legal rights may submit a complaint through the procedure designated by Page 24.

A complaint should contain sufficient information for Page 24 to understand:

  • the identity of the complainant;
  • the work or right allegedly infringed;
  • the allegedly infringing content;
  • the basis of the complaint; and
  • reasonable supporting information.

Page 24 may contact the relevant creator and may temporarily restrict access to disputed content while investigating.

Where appropriate, Page 24 may restore content if a complaint is withdrawn, resolved or determined to be insufficient.

Repeated or deliberate infringement may result in suspension or termination of an account.

16. PROHIBITED CONTENT AND CONDUCT

Users may not use Page 24 to knowingly:

  • publish material that infringes another person's intellectual-property rights;
  • impersonate another author or rights holder;
  • commit fraud;
  • distribute malware or malicious code;
  • manipulate sales, reviews or rankings through deceptive activity;
  • abuse payment systems;
  • attempt to gain unauthorised access to another account;
  • interfere with the operation or security of Page 24;
  • scrape or systematically copy protected platform content without permission;
  • use Page 24 for unlawful purposes; or
  • engage in conduct that materially harms other users or the platform.

Page 24 may restrict or remove content and may suspend or terminate accounts where reasonably necessary to address such conduct.

17. CONTENT MODERATION

Page 24 may review content using human or automated processes for purposes including:

  • copyright enforcement;
  • fraud prevention;
  • security;
  • compliance with law;
  • detection of prohibited content;
  • technical processing; and
  • enforcement of these Terms.

Page 24 does not guarantee that every violation will be detected.

The absence of immediate action by Page 24 does not constitute approval of unlawful or prohibited content.

18. MARKETING AND PROMOTION

Unless otherwise agreed, creators authorise Page 24 to use limited information about their published Works for the purpose of promoting the Work and the Page 24 platform.

This may include:

  • book title;
  • author name;
  • cover image;
  • description;
  • excerpts or previews;
  • publicly available creator information; and
  • promotional images relating to the Work.

Page 24 will not acquire ownership of the Work through this promotional licence.

Creators may be given options to participate in additional promotional programmes, campaigns or advertising services.

19. AVAILABILITY AND TECHNICAL CHANGES

Page 24 will make reasonable efforts to maintain the availability of the platform.

However, the service may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical failures;
  • security incidents;
  • third-party service interruptions;
  • network failures;
  • payment-provider outages;
  • events outside Page 24's reasonable control; or
  • legal or regulatory requirements.

Page 24 may modify, suspend or discontinue features of the platform where reasonably necessary to maintain, improve or secure the service.

20. REMOVAL OF A WORK

Subject to outstanding customer transactions, legal obligations and other rights that reasonably need to survive removal, creators may request removal of their Work from Page 24.

Removing a Work does not necessarily:

  • erase records required for accounting or legal compliance;
  • reverse completed customer purchases;
  • remove copies lawfully obtained by customers before removal; or
  • eliminate information that Page 24 is legally required to retain.

Page 24 may retain limited records necessary for legal, accounting, security, fraud-prevention or dispute-resolution purposes.

21. ACCOUNT SUSPENSION AND TERMINATION

Page 24 may suspend or terminate an account where it reasonably believes that:

  • these Terms have been materially violated;
  • the account is being used fraudulently;
  • the user has engaged in unlawful activity;
  • the user repeatedly infringes intellectual-property rights;
  • the account creates a material security risk; or
  • suspension is necessary to comply with law or a valid legal order.

Where reasonably practicable, Page 24 may provide the user with an explanation and an opportunity to address the issue.

Termination does not automatically eliminate rights or obligations that arose before termination.

22. THIRD-PARTY SERVICES

Page 24 may rely on third-party services for functions including:

  • payment processing;
  • mobile-money transactions;
  • card processing;
  • hosting;
  • cloud storage;
  • databases;
  • analytics;
  • email;
  • messaging;
  • content delivery;
  • security; and
  • other technical infrastructure.

Those services may have their own terms and privacy policies.

Page 24 will take reasonable steps to use service providers appropriate for the functions they perform, but Page 24 is not responsible for failures caused exclusively by an independent third-party provider beyond Page 24's reasonable control.

23. PRIVACY

Page 24's collection, use, storage and disclosure of personal information is governed by its separate Privacy Policy.

The Privacy Policy explains:

  • what information Page 24 collects;
  • why it is collected;
  • how it is used;
  • how it may be shared with service providers;
  • how information is protected;
  • retention practices; and
  • applicable user rights.

Where there is a conflict between these Terms and the Privacy Policy concerning personal-data processing, the Privacy Policy will govern that specific issue to the extent required by applicable law.

24. CREATOR RESPONSIBILITY FOR SALES AND MARKETING CLAIMS

Creators are responsible for ensuring that descriptions, advertisements, claims and other information they provide about their Works are accurate and not misleading.

Page 24 may modify or request changes to metadata or promotional material where reasonably necessary to correct inaccurate, deceptive, unlawful or prohibited information.

25. LIMITATION OF LIABILITY

To the extent permitted by applicable law, Page 24 will not be liable for:

  • unauthorised copying by third parties;
  • screenshots or photographs of digital content;
  • piracy that occurs outside Page 24's reasonable control;
  • temporary service interruptions;
  • failures of independent third-party providers;
  • loss resulting from the creator's failure to maintain original backup files; or
  • indirect, incidental or consequential losses arising from use of the platform.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

26. NO GUARANTEE OF COMMERCIAL SUCCESS

Page 24 provides publishing, distribution, marketing and related services but does not guarantee that:

  • a Work will achieve a particular number of readers;
  • a Work will generate a particular amount of revenue;
  • advertising will produce a particular return;
  • a Work will become commercially successful;
  • customers will purchase a Work; or
  • an author will obtain a particular audience size.

Creators remain responsible for decisions concerning their publishing, pricing and marketing strategies.

27. INDEMNIFICATION

To the extent permitted by applicable law, a creator or publisher may be responsible for losses, claims, liabilities or reasonable costs arising from their breach of these Terms or from claims that their Work unlawfully infringes another person's rights.

This section does not apply to the extent that the relevant loss was caused by Page 24's own unlawful conduct, negligence or other liability that cannot lawfully be transferred to the creator.

28. CHANGES TO THESE TERMS

Page 24 may update these Terms from time to time to reflect:

  • changes to the platform;
  • new services;
  • legal or regulatory requirements;
  • security improvements; or
  • changes in business practices.

Material changes will be communicated through reasonable means where required.

The updated Terms will state the date on which they take effect.

Continued use of Page 24 after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.

29. GOVERNING LAW

These Terms shall be interpreted in accordance with the applicable laws of Zimbabwe, except where mandatory provisions of another jurisdiction apply.

Nothing in these Terms prevents a user from exercising rights that cannot lawfully be excluded under applicable law.

30. CONTACT

Questions regarding these Terms, publishing rights, copyright, payouts or other Page 24 matters may be directed to the official Page 24 contact channels published on the platform.

Page 24 may publish separate procedures for:

  • copyright complaints;
  • privacy requests;
  • payout disputes;
  • refunds;
  • account appeals; and
  • other platform-specific matters.

CREATOR ACKNOWLEDGEMENT

By creating an account, uploading a Work, publishing a Work or otherwise using Page 24, you acknowledge that:

  1. you have read and understood these Terms;
  2. you retain ownership of the intellectual property that you lawfully own;
  3. you have the necessary rights to publish the Work;
  4. you understand the limited licence granted to Page 24;
  5. you understand that digital content cannot be made completely immune from copying;
  6. you are responsible for retaining your own original files; and
  7. you agree to comply with these Terms and applicable law.
